Integration of Mitutoyo and Affiliated Companies on December 20, 2004


Objective
All operations of the assigned companies, as outlined below, will be taken over.

Reasons for Takeover
Akashi Corporation, Meiho Engineering Limited and Meioh Giken Limited continued to conduct independent operations after they were brought into the Mitutoyo Group in October 1990, however, activities in the engineering and sales fields have now been adjoined to those of Mitutoyo. Operations will be amalgamated through this takeover, which is expected to help establish new technologies and products, and further develop operations.

All assets, including operations to be taken over, will be transferred based on their book value as of December 20, 2004.
