We are pleased to announce that we have transitioned to a holding company structure for the purpose of long-term management stability and speedy decision-making, as described below.

1. Name of holding company: MHD Corporation
(Hereinafter referred to as "MHD")
Head office: 20-1, Sakado 1-Chome, Takatsu-ku, Kawasaki City, Kanagawa Prefecture

2. Representative Director: Yoshiaki Numata

3. Purpose of Establishment:
To establish a permanent management structure of Mitutoyo Group that can carry on the management philosophy and the founding spirit.

4. Outline of New Structure
(1) MHD is established as a pure holding company with a majority of voting rights in our company.
(2) We will continue our business as before as an operating company.

5. Major events to date
J December 2022 :​Establishment of MHD, which will become the future holding company.
June 2022 : ​MDH acquires a majority of our company's voting rights and becomes our parent company.
